Self-Certification of Export Documents Program

MEMBER AGREEMENT

In consideration of the authority given by the Nashville Area Chamber of Commerce (the "Chamber") to the undersigned Participant ("Participant") to act as the deputy in the self-certification of Certificates of Origin program ("Program"), the Participant agrees as follows, this day of , 20:

1. The Participant agrees to be bound by all of the Chamber's Regulations of the Program, as they may be amended from time to time. If the participant violates any of such Regulations or this Agreement, the Chamber may, at its option, immediately revoke the Participant's privileges under the Program, and the Participant shall therefore return to the Chamber all seals, stamps, and other materials relating to the Program the Participant has in its possession.

2. The Participant's execution of this Agreement constitutes its continuing representation to the Chamber that it will use the Chamber's seal on Certificate of Origins only if all of the goods which are the subject of such documents originate in the United States of America. All of the Participant's Certificates of Origin documents bearing the seal of the Chamber shall also contain the following statement, which should be imprinted by a stamp supplied to the Participant by the Chamber:

The Nashville Area Chamber of Commerce, a recognized Chamber of Commerce under the laws of the State of Tennessee, certifies that to the best of its knowledge and belief, products named in this document originated in the United States of America. This self-certification is based solely on the exporter's (shipper's) affidavit, and not on independent verification or inspection, and make no express or implied warranty on the goods, affidavit, or related documents. Certification is completed by qualified companies through an advance agreement.

3. The Participant hereby agrees to indemnify, hold harmless, and defend the Chamber and its employees, officers and directors, resulting from liability claims, cost loss or expense, including without limitation any attorneys' fees and expenses, incurred by the Chamber which arise out of or relate in any way to the Chamber's certification or the goods, incorrect data listed on the Certificate of Origin, and their place of origin or any affidavit or documents relating thereto.

4. The representation of the Participant and the indemnification set forth in the foregoing paragraph shall survive the term of this Agreement and the Participant's participation in the Program.

5. The person signing this Agreement on behalf of Participant has been authorized to do so by all necessary corporate action of Participant, and this Agreement shall be binding upon Participant and its successors and assigns.

This Agreement has been executed at Nashville, Tennessee on the date set forth above.
